The End User License Agreement (“Agreement”) contains the terms and conditions for using the Font universally. By downloading, installing, or using the Font from Fontura, you agree to be bound by the terms of this Agreement.
1. DEFINITIONS
Fontura Studio (the “Licensor”) holds full legal and beneficial ownership of specific software products (the “Font”) and agrees to license them for your use (the “User”).
If You are a business entity using or purchasing the License for use by Your owners, clients, or other representatives, you must inform them who is obligated by this agreement. You and the other representative (the “User”) shall notify all employees and affiliates (the “Party”) about these terms and conditions and be accountable for their actions.
The Fonts are licensed, not sold. Obtaining a license to the Fonts gives the User the right to use the Fonts following the terms of this Agreement, the Addendum(s) to this Agreement, and the order invoice the User received when purchasing the License (the “Order Invoice”). The Order Invoice is incorporated into and made part of this Agreement
2. GRANT OF LICENSE
Licensor grants you a non-exclusive, royalty-free, non-transferable, non-sublicensable, and revocable right to use the Font, subject to the conditions outlined in this Agreement and the Order Invoice. This non-exclusive license does not preclude the Licensor’s right to license the Fonts to other users.
The User is advised to select the appropriate license according to the size of the brand or company, as well as the necessary application, ensuring that it encompasses the intended usage. Each license is valid for one brand or corporation only. If the user needs to use it for another brand or corporation, they must purchase an additional license.
FREE TRIAL LICENSE
The Free Trial License is strictly for design testing; a valid license is necessary to publish any work (in print and digital formats). The User cannot use the font for commercial or non-commercial products.
If the User has utilized these fonts—intentionally or unintentionally—in a published work, that work will be deemed illegal, and the User will be held responsible. To rectify this, the User must pay additional usage fees for the license. Once this fee is paid and a proper license is obtained, the User can continue using the font.
SMALL BUSINESS LICENSE
This license permits the User to create various printed items, such as brochures, calendars, merchandise, and posters, with no limit on the quantity of end products. It also covers usage for social media and websites under the same branding.
This license is prohibited for broadcasting, advertising, podcasts, e-books, games, and applications.
MEDIUM BUSINESS LICENSE
This license permits the User to create various printed items, such as brochures, calendars, merchandise, and posters, with no limit on the quantity of end products. It also covers usage for social media and websites under the same branding.
This license is permitted for broadcasting, advertising, and podcasts with unlimited viewers. It is prohibited for e-books, games, and applications.
NATIONAL CORPORATE LICENSE
This license permits a range of applications, encompassing both printed and digital media, facilitating the creation of an unlimited number of products. The User is authorized to distribute the font to other parties affiliated with the brand. This license applies to a brand or corporation operating on a national scale.
INTERNATIONAL CORPORATE LICENSE
This license permits a range of applications, encompassing both printed and digital media, facilitating the creation of an unlimited number of products. The User is authorized to distribute the font to other parties affiliated with the brand. This license applies to a brand or corporation operating on a global scale.
TRADEMARK LICENSE
This license permits the User to utilize the font as a brand or corporate logo. While the logo may be trademarked, the font itself is not subject to trademark. Each license is valid for a singular brand or corporation.
This license can be obtained as an add-on to the other licenses specified above.
3. PERMITTED USES & RESTRICTIONS
COPYING
The user may share and copy the Fonts to other parties affiliated with the User brand only if they agree to use the Fonts limited for the User’s work. The User is liable for any misuse of the Fonts by such third parties.
The User may not use the Fonts in letterform-related or alphabet products, including letterform reproduction products and any product, device, or service that owes an essential portion of its value or appeal to the shapes of the letterforms in the Fonts.
The User is prohibited from distributing any modified or unmodified versions of the fonts for the purpose of selling them.
MODIFICATIONS
The User can modify or alter the fonts for design applications; however, the modifications must be converted into rasterized vectors or images.
The user is prohibited from altering the font software by utilizing font editing tools. Any modification to the original font software is illegal and is strictly prohibited. The user must solely use the fonts as they were initially provided.
4. OWNERSHIP AND INTELLECTUAL PROPERTY RIGHTS
The User acknowledges that all Intellectual Property Rights in the Font and any updated releases belong to and shall remain the property of the Licensor. The User shall have no rights in or to the Font other than the right to use it under the terms of this agreement.
5. TERRITORIALITY & DURATION
The license selected by the User is granted according to that indicated in the Invoice, either:
Worldwide, or for a specified country (“National Range”).
All licenses remain valid indefinitely.
6. WARRANTY DISCLAIMER
The Font is provided “as is.” The Licensor offers no warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. The User bears all risks regarding the quality and performance of the Product.
The Licensor is not responsible for any direct, indirect, consequential, or any damages resulting from the use or inability to use the font.
7. TERMINATION
Licensor may terminate this Agreement, including the User license, immediately if the User breaches this Agreement. If the Agreement or License is terminated, the User is not entitled to a refund, shall cease all use of the applicable Fonts, and shall immediately destroy all published applications of the Fonts. Termination of this Agreement does not preclude the Licensor from seeking all legal or equitable remedies.
8. GOVERNING LAW AND JURISDICTION
The User acknowledges this Agreement is governed by Indonesian law, regardless of conflict of law principles. The User consents to the jurisdiction of Indonesian state and federal courts to enforce this Agreement and resolve any disputes related to it or the use of Fonts.
If a dispute occurs, the User commits to negotiating in good faith with the Licensor for a minimum of 45 days before pursuing additional remedies. The User will bear reasonable attorneys’ fees, costs, and expenses arising from audits or legal actions due to a breach of this Agreement.
9. UPDATES
The Licensor may revise this Agreement at any time to maintain its purpose and the allowed use of the Fonts. If the User continues to use the Fonts after being notified of updates, it indicates their acceptance of the amended Agreement.
